The rules of the road for The List PDX

The List PDX (“The List,” “we,” “us,” or “our”) is a by-the-industry, for-the-industry platform that helps Portland's food & drink community find events, list venues and concepts, and connect for pop-ups, residencies, and collaborations. These Terms of Service (the “Terms”) are a binding agreement between you and The List PDX and govern your use of our website and services (together, the “Service”). Please read them carefully.
By creating an account, submitting an event, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.
1. What The List PDX is — and isn't
The Service is a discovery, listing, matchmaking, and communication tool. We help members surface events and find one another; the actual arrangements, bookings, and deals happen between members.
We are not a party to any agreement between members. The List PDX does not host events, supply goods or services, employ or place workers, or guarantee that any collaboration, booking, or transaction will occur or succeed. We do not process payments, hold funds, or act as an escrow or payment agent. Any financial terms, deposits, fees, revenue splits, gratuity arrangements, or other money matters between members are negotiated and settled directly between those members, off the platform. Information about such terms shown on the Service is provided by members for their own reference and convenience.
You are solely responsible for evaluating, and for your dealings with, any other member, including vetting their identity, credentials, licensing, insurance, and suitability before entering into any arrangement.
2. Eligibility
You must be at least 18 years old to use the Service. If you use the Service on behalf of a business or other organization, you represent that you are authorized to bind that organization to these Terms, and “you” refers to both you and that organization.
3. Your account
You can sign in using a supported third-party login (such as Google) or an emailed sign-in link. You are responsible for the security of your account and for all activity that occurs under it. Keep your sign-in method and email account secure, and notify us promptly at info@thelistpdx.com if you suspect unauthorized use. You agree to provide accurate information and to keep it up to date.
4. Profiles and listings
The Service supports several profile types — including venues, concepts, community resources, workers, and publishers. You are responsible for the accuracy of every profile and listing you create, and you represent that you have the rights and authority to offer the space, services, or availability you list. You may pause, edit, or delete your individual profiles at any time from your account.
Profiles, listings, and submitted events may be displayed publicly. Submissions may be reviewed, edited, curated, declined, or removed at our discretion (see Section 8).
5. Your content and the license you grant
“Your Content” means anything you submit to the Service — including profiles, event details, descriptions, photos, messages, reviews, and other materials. You keep ownership of Your Content.
You grant The List PDX a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, adapt (for example, to format or resize), and distribute Your Content for the purpose of operating, promoting, and improving the Service. This license ends when you delete Your Content or your account, except for content others have shared or that we must retain to comply with law or resolve disputes, and for residual copies in routine backups.
You represent that you own or have the necessary rights to Your Content, that it is accurate, and that it does not infringe anyone's rights or violate any law.
6. Acceptable use
You agree not to:
- Post false, misleading, infringing, unlawful, harassing, hateful, or harmful content.
- Impersonate any person or business, or misrepresent your affiliation or authority.
- Use the Service to spam, scrape, harvest data, or send unsolicited solicitations.
- Interfere with, disrupt, probe, or attempt to gain unauthorized access to the Service or its systems.
- Use the Service for any illegal purpose or in violation of any applicable law, license, or permit.
- Circumvent moderation, curation, or any access or usage limits.
7. Collaborations and dealings between members
The Service provides tools to propose, negotiate, track, and communicate about collaborations between members. These tools are for your convenience. As stated in Section 1, any resulting arrangement is solely between the members involved.
You are responsible for your own conduct and commitments, including honoring confirmed collaborations, complying with all applicable health, safety, licensing, employment, and tax obligations, and resolving any disputes directly with the other member(s). The List PDX is not responsible for, and disclaims liability arising from, the acts, omissions, listings, or content of any member.
8. Event submissions and curation
Anyone may submit an event, with or without an account. The List PDX is a curated platform: we may review, edit, categorize, decline, or remove submissions, and not every submission will be published. Curation decisions are made at our discretion and do not create any obligation to publish or to keep any content live.
9. Reviews, ratings, and feedback
The Service may let members leave reviews, ratings, or post-collaboration feedback. Reviews must reflect a genuine experience and must not be false, retaliatory, or abusive. We may remove reviews that violate these Terms, but we are not obligated to monitor or verify them, and reviews reflect the opinions of the members who post them, not of The List PDX.
10. Automated and AI-assisted features
Parts of the Service use automation and artificial intelligence — for example, to suggest matches between members or to help parse and format submitted event information. These features can be imperfect or produce inaccurate results, and they do not constitute professional, legal, financial, or business advice. You are responsible for reviewing any AI-assisted output before relying on it.
11. Our intellectual property
The Service, including its software, design, text, graphics, and the “The List PDX” name and branding, is owned by The List PDX or its licensors and is protected by intellectual-property laws. Except for Your Content and what these Terms expressly allow, you may not copy, modify, distribute, or create derivative works from the Service without our permission.
12. Third-party services
The Service relies on and may link to third-party services (for example, login, email delivery, maps, hosting, and storage providers). We do not control and are not responsible for third-party services, and your use of them may be governed by their own terms and policies.
13. Privacy
Our Privacy Policy explains what information we collect and how we use it. By using the Service, you consent to those practices.
14. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that listings or member information are accurate, or that any collaboration, booking, or outcome will result from your use of the Service.
15. Limitation of liability
To the fullest extent permitted by law, The List PDX and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenues, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service or your dealings with other members. To the fullest extent permitted by law, our total liability for any claim relating to the Service will not exceed one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
16. Indemnification
You agree to indemnify and hold harmless The List PDX and its operators from any claims, losses, and expenses (including reasonable attorneys' fees) arising out of Your Content, your use of the Service, your dealings with other members, or your violation of these Terms or any law.
17. Suspension and termination
You may stop using the Service at any time, and you can pause or delete your profiles or your entire account from your account settings. We may suspend or terminate your access, or remove content, at our discretion — for example, if you violate these Terms or create risk for other members or the Service. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
18. Changes to the Service and these Terms
We may change, suspend, or discontinue any part of the Service at any time. We may also update these Terms; when we do, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Changes take effect when posted, and your continued use of the Service after that means you accept the updated Terms.
19. Governing law and disputes
These Terms are governed by the laws of the State of Oregon, without regard to its conflict-of-laws rules. You agree that any dispute relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Multnomah County, Oregon, and you consent to the personal jurisdiction of those courts. Before filing anything, please contact us so we can try to resolve the issue informally.
20. General
These Terms, together with the Privacy Policy, are the entire agreement between you and The List PDX regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
